Entity Formation Packet
Generated: 2026-05-05
Recommendation
Form one Delaware LLC first:
Malca Yenta Networks LLC
Use LevSMS and NW Pulse as product/DBA brands after formation. Do not form a separate LevSMS LLC unless counsel or tax planning gives a specific reason. One entity is cleaner for Twilio, banking, website consistency, and the first pilot.

Entity name:
Malca Yenta Networks LLC
Backup names:
Malca Yenta Labs LLCMalca Yenta Ventures LLCMalca Yenta Community Networks LLC
Registered agent:
- Use Northwest Registered Agent, Harvard Business Services, or another Delaware registered agent.
- The RA service supplies the Delaware registered office/address.
Authorized person:
- Sam Treitel
Purpose:
- Delaware's short Certificate of Formation generally does not require a purpose clause. If a provider asks for purpose, use:
Any lawful business purpose for which a limited liability company may be organized.
Manager/member:
- Single-member LLC owned by Sam Treitel unless counsel/tax says otherwise.
Business address:
- Use Sam's chosen business mailing address:
589 Hook Street, Valley Stream, NY 11581unless Sam corrects this. - Do not use the registered agent address as the operating address unless the provider explicitly supports mail forwarding and you intend that.
- Sam approved use of this address in business filings/records if required.
- Formation/domain account email:
Sam@HookStreetCapital.com. - Formation/domain account phone:
917-589-5341.
Registered agent recommendation
Default recommendation: Harvard Business Services, Inc.
Why:
- Delaware lists Harvard Business Services, Inc. on the official Delaware registered-agent list.
- Harvard is Delaware-focused.
- Harvard's official registered-agent page currently states $50/year for Delaware registered-agent service.
- Northwest Registered Agent is also reputable and fine, but its public cost guidance is materially higher for ongoing registered-agent service.
Use Harvard unless Sam has a privacy/service preference for Northwest.
Filing checklist
- Check Delaware name availability.
- Order Delaware registered agent service.
- File Certificate of Formation.
- Save stamped filed copy and receipt.
- Save registered agent agreement.

New York foreign LLC
Official path:
- NY Application for Authority: https://dos.ny.gov/application-authority-foreign-limited-liability-companies
- NY Certificate of Publication: https://dos.ny.gov/certificate-publication-foreign-limited-liability-company-0
Do not rush this before counsel/CPA confirms the timing. If the Delaware LLC is doing regular business in New York, NY foreign qualification is the normal next step.
NY requires a Certificate of Existence/Good Standing from Delaware dated within one year for the Application for Authority. NY also requires publication within 120 days after filing the Application for Authority: once weekly for six consecutive weeks in two newspapers designated by the county clerk. The Certificate of Publication filing fee is $50.
FinCEN BOI
Current FinCEN guidance says entities created in the United States and their beneficial owners are exempt from BOI reporting under the March 2025 interim final rule. Source: https://www.fincen.gov/beneficial-ownership-information-reporting
Still verify with CPA/counsel at formation time because BOI rules have changed more than once.
